value-added services company, announced today that it has filed a shelf
registration statement on Form S-3 with the United States Securities and
Exchange Commission (SEC) to register for resale its Zero Coupon Convertible
Senior Notes due 2023, issued in July 2003 in a private placement, and the
shares of common stock into which the notes are convertible.
The registration statement relating to these securities has been filed with
the SEC, but has not yet become effective. These securities may not be sold nor
may offers to buy be accepted prior to the time the registration statement
becomes effective except in reliance on an exemption from the registration
requirements of the Securities Act of 1933.
